1 Scope
These Terms of Sale (“Terms”) govern the purchase and use of digital learning products (“Courses”) sold through vetclinicalnutrition.academy and karolinaholda.com (collectively, the “Website”). By placing an order you conclude a binding contract with Karolina Hołda Cani Diet, Jerzego Iwanowa‑Szajnowicza 1/68, 02‑796 Warsaw, Poland, VAT PL9512241510 (“Academy”, “we”, “us”).
These Terms apply to all customers worldwide, including those located in the United States. Where you are a Consumer within the meaning of Directive 2011/83/EU (natural person acting outside your trade, business or profession), the statutory consumer protections set out in these Terms apply. Business customers (B2B) may also purchase the Courses – by providing company details and VAT number at checkout – but acknowledge that certain consumer‑specific rights (e.g. statutory withdrawal right) do not apply to B2B contracts.
2 Definitions

| Digital Content | Any video, audio, PDF, PPT, spreadsheet or other intangible material supplied electronically, including recordings of Live Sessions. |
3 Ordering Process
- Prices are displayed in EURO and include VAT where applicable. Final taxes are shown at checkout.
- To purchase, add the Course to the cart, provide billing details, choose a payment method and confirm by clicking “Buy now”. Before payment you may correct any input errors.
- Upon successful payment you receive an automated e‑mail confirmation. The contract is formed when we send that confirmation.
4 Payment Methods
We accept the following processors:
- Stripe (cards, Apple Pay, Google Pay)
- PayPal
- Pay Now (mBank S.A.)
- Przelewy24 (PayPro S.A.)
Payments are collected in advance; even if you choose a pay‑later option we receive the full purchase price upfront from the external provider. We do not add any surcharge, although the external provider may charge fees or interest, which will be disclosed during checkout.
Pay in instalments / Pay later
- Poland: via PayPo in the Pay Now gateway or the Przelewy24 Instalment plan. The pay‑later provider immediately settles the full purchase price with us; you then repay the provider under the repayment schedule presented at checkout. We are not a party to that credit agreement. Failure to pay an instalment will not suspend your access to the Course, but the provider may charge fees or take collection measures.
- Outside Poland: Stripe may surface local “Pay Later” solutions (e.g. Klarna, Afterpay, Affirm) and PayPal Pay Later may appear if supported in your country. As above, the provider pays us in full on the purchase date and you repay the provider directly. Any questions, interest charges or disputes regarding the credit agreement must be addressed to the relevant provider.
Invoices & VAT – We issue electronic VAT invoices for every purchase. If you provide a valid VAT identification number at checkout:
- Polish businesses (B2B PL) – Polish VAT (23 %) is charged.
- EU businesses outside Poland (B2B EU) – No Polish VAT is charged (“0 % – reverse charge”) pursuant to Art. 44 & 45 EU VAT Directive / Art. 28c Polish VAT Act; you must self‑account for VAT in your Member State.
- Non‑EU customers (including the USA) – The sale is treated as outside the scope of Polish VAT and no VAT is charged.
- Invoices are sent automatically to the billing e‑mail address within several minutes after of purchase.
5 Delivery of Digital Content
- Access to pre‑recorded modules is granted immediately after payment via your user account.
- Live Sessions are delivered on the dates published on the Course landing page or in subsequent e‑mail communication.
- We fulfil our obligation to deliver Digital Content when the access credentials become available in your account or when the Live Session starts – whichever occurs first.
- Access Term – Access to the Courses is provided for two (2) years from the date of purchase. After this period your user account may be disabled or archived.
- Certificates: you must generate and download any course completion certificates from the platform before the Access Term expires.
- Access extension: You may request an extension of the Access Term for an additional fee. We will send you an individual discount code and payment link; upon receipt of payment we will reactivate access for the agreed period.
6 Right of Withdrawal & Loss Thereof (EU Consumers)
1 This statutory withdrawal right is available only to Consumers. Buyers acting in the course of trade (B2B) are not entitled to statutory withdrawal rights. However, this right is lost for digital content once performance has begun with your prior express consent (Art. 16 (m) CRD). During checkout you expressly:
- request immediate access to the Digital Content, and
- acknowledge that you thereby lose the statutory withdrawal right.
7 Our Commercial Refund Policy
Notwithstanding section 6, we voluntarily grant the following additional right:
Full net refund until the first Live Session
You may cancel the Bundle for any reason and obtain a refund of the net purchase price (price excluding VAT) at any time until the scheduled start time of the first Live Session.

- Refunds are processed using the original payment method within 14 days.
- After the first Live Session has started, no refunds or partial refunds are offered.
This commercial policy does not affect mandatory consumer rights regarding defective performance (see section 8).
8 Conformity & Remedies for Defects
The Courses must be as described, fit for purpose and supplied with reasonable skill, in accordance with Directive 2019/770/EU and Polish Civil Code art. 556 ff.
- You must notify us of any lack of conformity within two (2) years from delivery (§ 7 table).
- We will, at our cost, bring the Digital Content into conformity, or where impossible, offer an appropriate price reduction or refund.
9 License & Intellectual Property
All Digital Content is our copyright or licensed to us. We grant you a non‑exclusive, non‑transferable licence for personal, non‑commercial use. You may not share, resell, screen‑record or otherwise capture video/audio of Live Sessions or pre‑recorded modules, or remove copyright notices.
10 Medical Disclaimer
The Courses are for educational purposes only and do not constitute personalised veterinary advice nor do they grant any qualification equivalent to the European College of Veterinary and Comparative Nutrition (ECVCN) specialty.
Completion of the Course provides a continuing‑education certificate only and does not bestow any professional title.
If a therapeutic diet must be formulated for a clinically ill patient, please consult a board‑certified veterinary nutritionist (Dipl. ECVCN or ACVIM [(Nutrition]).
If you are a licensed veterinarian, apply the Course content using your own professional judgment and, where appropriate, consult specialist colleagues. If you are not a veterinary professional, you must obtain advice from a practising, licensed veterinarian before making any dietary changes for animals in your care.
11 Liability
Nothing in these Terms limits liability for death, personal injury, gross negligence, or any liability that cannot be excluded under applicable law. For other losses our aggregate liability is limited to the price you paid for the Course.
12 Complaints & Dispute Resolution
- Send complaints to kontakt@karolinaholda.com. We reply within 3 days.
- EU consumers may use the ODR platform (ec.europa.eu/consumers/odr) for online dispute resolution.
- We do not participate in voluntary ADR before Polish trade inspection entities.
- Consumers may also seek free assistance from the Office of Competition and Consumer Protection (UOKiK) – https://www.uokik.gov.pl.
13 Governing Law & Jurisdiction
These Terms are governed by Polish law. Any disputes shall be submitted to the competent court of the consumer’s habitual residence or, if the consumer chooses, the court located in Poland.
14 Changes to Terms
We may update these Terms for legal or operational reasons. Registered users will be notified by e‑mail at least seven (7) days before the new Terms take effect.
